These Terms and Conditions ("Terms") govern your access to and use of the FindSpaces website, platform and associated services ("FindSpaces", the "Platform", "we", "us" or "our").

By accessing or using FindSpaces, creating an account, submitting a listing or using any of our services, you agree to these Terms.

If you do not agree with these Terms, you should not use the Platform.

1. About FindSpaces

FindSpaces is an online platform designed to help individuals and businesses discover, advertise and enquire about available spaces and properties.

The Platform may allow property owners, landlords, agents, operators and other authorised parties ("Space Providers") to advertise spaces and allow individuals or businesses ("Searchers") to search, save, compare and enquire about those spaces.

Unless expressly stated otherwise, FindSpaces acts as an online platform connecting Searchers and Space Providers.

FindSpaces is not normally a party to any lease, licence, tenancy, booking, purchase, management agreement or other contract subsequently entered into between users.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or enter into transactions arising through FindSpaces.

If you use FindSpaces on behalf of a company or other organisation, you confirm that you have authority to act on behalf of that organisation and bind it where applicable.

3. User Accounts

Certain features of FindSpaces may require you to create an account.

You agree to provide accurate, complete and current information when creating and maintaining your account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account.

You must notify us promptly if you believe your account has been accessed or used without your permission.

We may suspend, restrict or close accounts where we reasonably believe these Terms have been breached, an account is being misused, fraudulent activity is taking place, or continued access could create a risk to FindSpaces or its users.

4. Property and Space Listings

Space Providers are responsible for ensuring that information contained within their listings is accurate, lawful and not misleading.

This includes, where applicable:

• property or space descriptions;
• photographs, videos and other media;
• location information;
• dimensions and floor areas;
• facilities and amenities;
• availability;
• pricing, rents and charges;
• deposits;
• business rates or other costs;
• planning or permitted-use information;
• accessibility information; and
• any restrictions or conditions associated with the space.

Space Providers must have the necessary authority to advertise any space submitted to FindSpaces.

You must not knowingly submit false, misleading, fraudulent or unauthorised listings.

5. Verification of Listings

FindSpaces may undertake checks on listings, accounts or Space Providers, but we are not obliged to independently verify every piece of information published on the Platform.

The presence of a listing on FindSpaces should not be interpreted as a guarantee, endorsement, valuation or verification of the property, Space Provider or information contained within the listing unless we specifically state otherwise.

Searchers should independently verify information that is important to their decision before entering into any agreement.

6. Searching and Enquiries

FindSpaces provides tools that may help users discover and compare spaces.

Search results may be determined using factors including location, availability, listing information, relevance, user preferences and other data available to the Platform.

Searchers are responsible for determining whether a particular space is suitable for their requirements.

Submitting an enquiry through FindSpaces does not guarantee availability or create a reservation, lease, licence, tenancy or other agreement.

7. Recommendations and Automated Features

FindSpaces may use algorithms, automation or artificial intelligence to assist with search, matching, recommendations, categorisation, summaries or other Platform features.

These features are intended to assist users and should not be treated as professional property, financial, legal, planning, surveying or investment advice.

Automated results may occasionally be incomplete or inaccurate.

Users should independently verify important information before making decisions or entering into agreements.

8. Agreements Between Users

Any negotiations or agreements between a Searcher and a Space Provider are the responsibility of those parties.

Unless expressly stated otherwise, FindSpaces does not negotiate, enter into or guarantee agreements on behalf of users.

Users are responsible for carrying out appropriate due diligence before entering into any transaction.

This may include obtaining professional legal, financial, planning, property or surveying advice where appropriate.

9. Fees and Paid Services

FindSpaces may offer free and paid services.

Paid services may include listing packages, enhanced listings, promotional placements, subscriptions, advertising, lead-generation services or other premium functionality.

Prices and applicable taxes will be displayed before a user purchases a paid service.

Where a service is provided on a recurring subscription basis, the billing frequency, price and cancellation arrangements will be presented when the subscription is purchased.

We may change our prices from time to time. Changes to existing subscriptions will be communicated where required and will apply in accordance with the terms presented for that subscription.

10. Featured and Promoted Listings

Space Providers may be able to pay for additional visibility, including featured, promoted or sponsored placement.

Where appropriate, paid placements may be identified as promoted, featured, sponsored or using similar wording.

Payment for additional visibility does not constitute an endorsement of the property or Space Provider by FindSpaces.

11. Payments

Where FindSpaces processes payments directly, additional payment terms may apply.

Payments may be processed by third-party payment providers. Users may therefore also be subject to the relevant payment provider's terms and privacy policies.

FindSpaces does not store complete payment card details where payments are handled by an external payment processor.

12. Cancellations and Refunds

Cancellation and refund rights will depend on the particular service purchased and whether the customer is acting as a business or consumer.

Any specific cancellation period, minimum subscription period or refund entitlement applicable to a paid FindSpaces service will be disclosed at the point of purchase.

Nothing in these Terms limits statutory rights that cannot lawfully be excluded.

13. Acceptable Use

You must not use FindSpaces:

• for unlawful or fraudulent purposes;
• to advertise a property or space you are not authorised to advertise;
• to provide deliberately false or misleading information;
• to impersonate another person or organisation;
• to distribute malware or malicious software;
• to attempt to gain unauthorised access to the Platform or its systems;
• to scrape, harvest or systematically extract Platform data without permission;
• to interfere with the normal operation or security of FindSpaces;
• to send unsolicited or abusive communications to other users;
• to infringe another person's intellectual property or other legal rights; or
• in any way that could damage FindSpaces, its users or its reputation.

14. Content You Submit

You retain ownership of content you submit to FindSpaces.

By uploading or submitting content, including photographs, descriptions, floorplans, logos and other listing materials, you grant FindSpaces a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, adapt and display that content for the purpose of operating, marketing and promoting FindSpaces and your listings.

You confirm that you own the content or have the necessary permission to use it.

You remain responsible for content you submit.

15. Removal of Content

We reserve the right to remove, suspend or restrict access to listings or other content where we reasonably believe that the content:

• breaches these Terms;
• is inaccurate or misleading;
• may infringe another person's rights;
• may be unlawful;
• relates to suspected fraudulent activity;
• creates a security risk; or
• could harm FindSpaces or its users.

Where appropriate, we may request additional information or evidence before restoring a listing.

16. Intellectual Property

The FindSpaces name, branding, website design, software, databases, graphics and other materials created by or for FindSpaces are protected by intellectual property laws.

Except where expressly permitted, you may not copy, reproduce, modify, distribute, sell, licence or commercially exploit FindSpaces content, software or data without our written permission.

Nothing in these Terms transfers ownership of FindSpaces intellectual property to you.

17. Third-Party Services and Links

FindSpaces may contain links to third-party websites, services, maps, payment providers or other external resources.

We are not responsible for the availability, security, content or practices of third-party services.

Use of third-party services may be subject to separate terms and privacy policies.

18. Availability of the Platform

We aim to provide a reliable service but cannot guarantee that FindSpaces will always be available, uninterrupted or error-free.

We may occasionally need to suspend or restrict parts of the Platform for maintenance, security, upgrades or other operational reasons.

Features may also be introduced, changed or withdrawn as the Platform develops.

19. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to applicable law, FindSpaces is not responsible for losses arising from:

• inaccurate or incomplete listing information supplied by third parties;
• the condition, availability or suitability of a listed property or space;
• negotiations or agreements between users;
• actions or omissions of another user;
• decisions made based on information obtained through the Platform;
• third-party websites or services; or
• circumstances outside our reasonable control.

Where you use FindSpaces for business purposes, we will not be liable for indirect or consequential loss, loss of profits, loss of revenue, loss of business, loss of opportunity, loss of anticipated savings or loss of goodwill, except where such liability cannot legally be excluded.

Nothing in these Terms affects any statutory rights that cannot lawfully be excluded or restricted.

20. Indemnity

Where you use FindSpaces in the course of a business, you agree to indemnify FindSpaces against reasonable losses, liabilities, claims and costs arising directly from your unlawful use of the Platform, your breach of these Terms or content you submit that infringes another person's rights.

21. Privacy and Personal Data

We process personal information in accordance with our Privacy Policy and applicable data protection law.

Our Privacy Policy explains what information we collect, how it is used, how long it may be retained and the rights available to individuals.

Where users communicate directly with each other following an introduction through FindSpaces, each party may have its own responsibilities regarding personal information it subsequently processes.

22. Communications

By creating an account or submitting an enquiry, you agree that we may send service-related communications necessary to operate your account or provide the requested service.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

Where required, you can withdraw marketing consent or unsubscribe using the method provided in the relevant communication.

23. Account Suspension and Termination

You may stop using FindSpaces at any time.

Where account controls are provided, you may request closure of your account subject to any legal, financial or contractual obligations that remain outstanding.

We may suspend or terminate access where there has been a material breach of these Terms, suspected fraud, unlawful activity, misuse of the Platform or a security risk.

Provisions that by their nature should continue after termination will remain in effect.

24. Reporting Problems

If you believe a listing is inaccurate, fraudulent, unlawful or infringes your rights, please contact us.

We may investigate reports and take appropriate action, including requesting evidence, restricting a listing or removing content.

25. Changes to These Terms

We may update these Terms periodically to reflect changes to FindSpaces, our business model, applicable laws or regulatory requirements.

The latest version will be published on the FindSpaces website together with the date it was last updated.

Where a change materially affects an existing paid service or user relationship, we will provide notice where required.

26. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

27. No Waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.

28. Governing Law

These Terms are governed by the laws of England and Wales.

If you are using FindSpaces as a business, the courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms, subject to any mandatory legal rights that apply.

If you are using FindSpaces as a consumer, you may have additional rights regarding where proceedings can be brought.
